The Panel on the Nonprofit Sector, convened by Independent Sector and supported by BoardSource, developed “Principles for Good Governance and Ethical Practice” in 2007. They identified 33 principles designed to guide board members and staff professionals of charitable organizations as they work to improve their own operations. The San Antonio Area Foundation is presenting these 33 principles over four sessions to be held quarterly throughout the year. The “Legal Compliance” session will cover seven principles related to the board’s responsibilities and practices in terms of implementing conflict of interest and whistleblower policies, assisting charitable organizations in complying with their legal obligations and providing information to the public.


The workshop will cover:

  • Nonprofit Laws and Regulations
  • Code of Ethics
  • Conflicts of Interest
  • “Whistleblower” Policy
  • Document Retention and Destruction
  • Protection of Assets
  • Availability of Information to the Public

Who should take this class?
Board members, Executive Directors, professional staff and administrative staff who support Board members or meetings.

This workshop is included in the Nonprofit Management Certification series and fulfills three hours in the Nonprofit Governance competency area.

Meet our Presenter:

D’Ann Johnson is the branch manager of RioGrande Legal Aid. D’Ann oversees the operation and management of a staff of 45 lawyers, paralegals and support staff in the direct legal services program, works with the Executive Director and legal staff in developing and executing initiatives to provide improved civil legal services.
D’Ann is currently the Director of Texas C-BAR. In her role she coordinates delivery of pro bono transactional legal services to nonprofit community development organizations working to revitalize low-income communities.  She develops training programs, online resources, and manuals addressing critical legal issues for nonprofit organizations. D'Ann also conducts training programs for attorneys, nonprofit staff, and board members and works with coalitions to devise strategies to overcome systemic legal obstacles to creating economic self-sufficiency and affordable housing for low-income persons. She participates in fundraising, strategic planning, and grant compliance. D’Ann graduated from The University of Texas School of Law, J.D.

REFUND/CREDIT POLICY: The San Antonio Area Foundation has a strict no refund policy.
If the registrant is not able to attend the workshop and/or class, a substitute may be sent. If a workshop and/or class has been unexpectedly cancelled and/or postponed by the Area Foundation, a refund or credit towards another workshop and/or class will be issued. No refunds or credits will be given for cancellations received less than 48 hours before a workshop.
